Terms and Conditions - Jinji HR Solutions

These Terms and Conditions ("Terms") govern your use of the services provided by Jinji HR Solutions ("we", "us", or "our"), including but not limited to Employee Interview Management, Internal and External Corporate Event Planning and Execution, Broadcast Production for Corporate Communications, Statement Drafting and Dissemination, HR Policy Development and Implementation, Recruitment Process Outsourcing, Employee Training and Development, Performance Management Systems, Conflict Resolution, and Succession Planning. By accessing or using our services, you agree to be bound by these Terms.

Fees for our services will be quoted and agreed upon in a separate service agreement or proposal. Payment terms, including invoicing schedules and due dates, will be specified therein. All fees are exclusive of any applicable taxes, which will be added where required by law.

5. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or confidential information disclosed during the course of providing or receiving services. This obligation survives the termination of any service agreement.

6. Intellectual Property

All intellectual property rights arising from the services provided by Jinji HR Solutions, including but not limited to documents, reports, policies, video productions, and training materials, shall remain our property unless otherwise explicitly agreed upon in a written service agreement. You are granted a non-exclusive, non-transferable license to use such materials solely for your internal business purposes.

7. Disclaimer of Warranties

While we strive to provide high-quality services, Jinji HR Solutions does not warrant that our services will be error-free or that they will meet all of your expectations. Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Jinji HR Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services; (iii) any content obtained from the services; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

9. Termination

Either party may terminate a service agreement as per the terms specified within that agreement. Upon termination, all outstanding payments become immediately due. Sections related to confidentiality, intellectual property, disclaimers, limitation of liability, governing law, and dispute resolution shall survive termination.

10. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any dispute, controversy or difference which may arise between the parties hereto, out of or in relation to or in connection with this contract, shall be finally settled by arbitration in Tokyo, Japan in accordance with the Commercial Arbitration Rules of The Japan Commercial Arbitration Association. The language of the arbitration shall be Japanese.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide reasonable notice of any new terms. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
